Please read these Terms of Use ("Terms") carefully before using our website Zigaara.com website and any related services provided by Zigaara Limited (“Zigaara,” “we,” “us,” or “our”). By accessing or using our platform, you agree to be bound by these Terms, as well as our Privacy Policy, which explains how we collect, use, and protect your personal data. If you do not agree to these Terms or the Privacy Policy, you should not use our services.

These Terms apply to all users of the platform, including vendors, customers, and visitors. Kindly read them carefully, as they outline your rights, responsibilities, and limitations when using Zigaara.

1. Definitions

  • Content refers to any data, text, graphics, photos, video, audio, or other materials uploaded, downloaded, or appearing on or through the Service.
  • Platform means the website located at https://zigaara.com, including any mobile applications, features, content, and services provided by Zigaara.
  • Service refers to the Zigaara.com website, mobile applications, platforms, tools, and all related services provided by Zigaara to support the creation and management of online stores.
  • User/You refers to any individual or entity accessing or using the Service, including businesses, customers, and visitors.
  • Vendor means a registered user who creates an online store using the Platform to upload, promote, and sell products or services.

2. User Accounts and Responsibilities

To access certain features of the Platform, you may be required to create an account. When registering, you guarantee that you are above the age of 18 and that the information you provide is accurate, complete, and up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

If you are a Vendor, you agree to:

  • Ensure that your product listings and business information are accurate and not misleading;
  • Comply with all applicable laws and regulations relating to your products, business practices, and transactions;
  • Fulfill customer orders promptly and professionally.

If you are a Customer, you agree to:

  • Provide accurate information during checkout;
  • Make payments only through authorized methods;
  • Use the Platform in a lawful and respectful manner.

Zigaara reserves the right to suspend or terminate your account if we believe you have violated these Terms or engaged in any activity that could harm other users or the integrity of the Platform.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

3. Prohibited Activities

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service. Prohibited behavior includes but is not limited to:

  • Uploading or transmitting any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content.
  • Engaging in any conduct that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the Service.
  • Attempting to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to our server, through hacking, password mining, or any other means.
  • Using the Service to send unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Transmitting viruses, malware, or any other harmful code.
  • Infringing on any intellectual property rights, privacy rights, or proprietary rights of others.

We reserve the right to investigate and take appropriate legal action against anyone who violates these Terms, including suspending or terminating accounts and reporting unlawful conduct to relevant authorities.

4. Vendor Stores and Content

As a Vendor, you are solely responsible for the content you upload, publish, or display on your store, including product descriptions, images, pricing, branding, and any promotional material.

By uploading content to the Platform, you confirm that:

  • You own or have the right to use all content you post;
  • Your content does not infringe on the rights of any third party, including intellectual property, privacy, or publicity rights;
  • Your listings comply with all applicable laws and regulations;
  • You will not upload content that is offensive, misleading, deceptive, or harmful.

Zigaara reserves the right (but not the obligation) to review, remove, or disable access to any content that violates these Terms or that we believe may harm our users or the integrity of the Platform. You grant Zigaara a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your store content solely for the purpose of operating, promoting, and improving the Platform.

5. Fees and Payments

Use of certain features on the Zigaara Platform may be subject to fees, including but not limited to service fees like transaction charges, subscription plans, or promotional services. These fees will be clearly communicated before they are applied.

As a Vendor, you agree to:

  • Pay all applicable fees associated with your use of the Platform;
  • Authorize Zigaara or its third-party payment providers to charge your chosen payment method for any recurring or one-time fees;
  • Ensure that your billing and payment information is accurate and up to date at all times.

Zigaara reserves the right to update its pricing structure or introduce new fees at any time. Any such changes will be communicated to you in advance and will not apply retroactively.

Transaction Processing: Payments made by customers through your store may be processed via third-party payment gateways. Zigaara is not responsible for any delays, errors, or service issues caused by these providers. Payouts to Vendors will be made in accordance with the schedule and method specified by Zigaara and may be subject to processing or transfer delays outside our control.

Refunds and Cancellations: Zigaara acts as a facilitator between Vendors and Customers. Vendors are responsible for defining, posting, and honoring their own refund and cancellation policies. Zigaara does not process refunds on behalf of Vendors. However, Zigaara may, at its sole discretion, intervene in cases involving suspected abuse or breach of our platform policies. There shall be no refunds for subscriptions after payment has been made. Please note that we would inform you before your subscription expires. Please take action to cancel if you do not intend to renew your subscription.

Non-Payment and Account Action: Failure to pay any due fees may result in the temporary suspension or permanent termination of your access to the Platform or specific features. Zigaara also reserves the right to take legal action or engage collection services for unpaid amounts.

6. Intellectual Property

All content, features, and functionality on the Zigaara Platform including but not limited to the design, text, graphics, logos, images, software, and code are the intellectual property of Zigaara Limited or its licensors. These materials are protected by r applicable intellectual property laws.

You may not copy, modify, reproduce, distribute, or create derivative works from any part of the Platform without prior written permission from Zigaara.

Vendor Content: As a Vendor, you retain ownership of the content you upload to your store, including product images, logos, and descriptions. However, by using the Platform, you grant Zigaara a non-exclusive, royalty-free, worldwide license to use, host, display, and distribute your content solely for the purpose of operating and promoting the Platform and your store.

You represent and warrant that you have all necessary rights and permissions to use and upload any content you post on the Platform and that such content does not infringe the intellectual property rights of any third party.

Zigaara reserves the right to remove any content that violates these Terms or applicable laws.

7. Third-Party Services

The Zigaara Platform may contain links to, or integrate with, third-party services such as payment gateways, hosting providers, analytics tools, or marketing platforms. These services are not operated or controlled by Zigaara, and their use is governed by the respective third-party terms and privacy policies.

By using these integrated services through our Platform, you acknowledge and agree that:

  • Zigaara is not responsible for the availability, accuracy, or performance of third-party services;
  • We do not endorse or assume liability for the content, products, or services offered by these third parties;
  • Any interactions or transactions with third-party providers are solely between you and the third party.

We encourage you to review the terms and privacy policies of any third-party services you engage with through Zigaara.

8. Limitation of Liability

In no event shall Zigaara, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you would notify us about not wanting to use the Service again.

Upon termination, the following will apply:

  • Your access to your account and store may be disabled;
  • Any rights or licenses granted to you under these Terms will immediately end;
  • We may, but are not obligated to, retain your data for a period of time as required by law or for legitimate business purposes;
  • You remain responsible for any outstanding payments or obligations incurred before termination.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer

THE ZIGAARA PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ZIGAARA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AVAILABILITY, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

ZIGAARA DOES NOT GUARANTEE THE PERFORMANCE, SAFETY, LEGALITY, OR QUALITY OF ANY PRODUCTS OR SERVICES OFFERED BY VENDORS ON THE PLATFORM. ANY INTERACTIONS, TRANSACTIONS, OR DISPUTES BETWEEN VENDORS AND CUSTOMERS ARE SOLELY BETWEEN THOSE PARTIES. ZIGAARA DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT LISTINGS, DELIVERY TIMES, REFUND DECISIONS, OR VENDOR REPRESENTATIONS.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF ANY CONTENT OR INFORMATION MADE AVAILABLE THROUGH THE PLATFORM OR LINKED THIRD-PARTY WEBSITES OR SERVICES.

YOU USE THE PLATFORM AT YOUR OWN RISK. ZIGAARA IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic Nigeria, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

12. Waiver and Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall continue in full force and effect. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

13. Indemnity

You agree to indemnify, defend, and hold harmless Zigaara, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or related to:

  • Your use of the Platform;
  • Your violation of these Terms or any applicable law or regulation;
  • Your content or product listings, including any claims of infringement, misrepresentation, or product liability;
  • Any transaction, dispute, or interaction between you and another user or third party.

Zigaara reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully in asserting any available defenses.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

15. Acknowledgment

By accessing or using the Zigaara Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, as well as our Privacy Policy. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
